Terms of Use

1. Introduction
Welcome to TeraInvoice, a software service provided by TeraInvoice LLC Company, a company incorporated in State, US (“we”, “us”, “our”). These Terms of Service (“Terms”) govern your access to and use of the TeraInvoice platform (the “Service”). By registering for or using the Service, you agree to these Terms.

2. Eligibility
You must be at least 18 years old and have legal capacity to form contracts to use the Service. If you are using the Service on behalf of an entity (such as a business or studio), you represent that you are authorised to bind that entity to these Terms. You agree to provide accurate, current and complete information when creating an account and to maintain and promptly update that information.
3. Service Description
TeraInvoice, a pay-to-download invoicing tool, focusing on photographers, freelancers, photo studios, content creators, small business ownersand agencies who work with large deliveries, to create branded invoices, receive payment from clients, and securely transfer large media files (photos, videos, downloads). You may use the Service for your business purposes in accordance with these Terms and the applicable pricing plan.
4. Subscription Plans, Billing Cycles, Fees
We offer one or more subscription plans (Free, Solo, Business). Your subscription fee (monthly or annual) is described on our pricing page. All fees are non‑refundable unless otherwise stated. We may change pricing or introduce new plans upon 30 days’ notice.
Monthly Billing
- Charged on the same date each month
- Full access to plan features immediately upon payment
- Can upgrade or downgrade at any time
Annual Billing
- Billed once per year (equivalent to 10 months of monthly pricing)
- 2 months free compared to monthly billing
- Full access to plan features immediately upon payment
Billing Cycle Changes
- Upgrades: Applied immediately with prorated charges
- Downgrades: Take effect at the end of your current billing period
- Storage upgrades: Applied immediately
- Storage downgrades: Take effect at the end of your billing period

Trial Rules
Current Trial Policy
- No free trial period for paid plans
- Free tier available with the following limits:
- 3 invoices per month
- $300 total invoice amount limit
- Basic deliverable types (links and text only)
- TeraInvoice branding on invoices
- Automatic payment reminders included
Trial-Related Notifications
- Admin notification type available for “Trial Ending” events
- Trialing subscriptions are treated as active subscriptions
Cancellation Policy
Subscription Cancellation
- Users can cancel their subscription at any time through the Customer Portal
- Cancellation takes effect at the end of the current billing period
- Access to paid features continues until the billing period ends
- No partial refunds for unused time within the billing period
What Happens When You Downgrade
From Business to Solo or Free:
- Lose ability to upload files directly
- 100 GB secure storage will no longer be available
- Automatic file cleanup after 90 days will be disabled
From Solo to Free:
- Limited to 3 invoices per month
- Custom Domain & SMTP will no longer be available
- TeraInvoice branding will appear on invoices again
After Cancellation
- Data is retained (invoices, clients, templates)
- You return to Free tier functionality
- You can resubscribe at any time to regain access to paid features
Payment Processing
Stripe Integration
- 0% platform fee on payments (TeraInvoice)
- Additional Stripe processing fees apply (standard Stripe rates)
- Payments deposited to your connected Stripe account
- Supports tips/gratuity collection
PayPal Integration
- PayPal processing fees apply
- IPN (Instant Payment Notification) for payment verification
- Supports standard PayPal payment statuses
File Retention (Business Plan)
- Files are stored for 90 days after invoice is paid
- Automatic cleanup of old files after retention period
- Storage usage is tracked and displayed in account settings
- Storage alerts sent when approaching limits
5. Payment Processing & Payouts
Your subscription payments are processed via our Stripe payment provider. When you invoice your clients using the service, you direct them to your chosen payment processors (Stripe, PayPal). We do not process or hold funds paid by clients to you.

Invoice Payment Terms
- Payment due dates are set by the invoice creator
- Invoices can be set to any due date
- Customers can pay via credit/debit card through Stripe or PayPal (if configured)
- Tips/gratuity can be enabled for Stripe payments (preset amounts: $5, $10, $20 or percentages: 10%, 15%, 20%)
Subscription Payment Terms
- Payment is due at the start of each billing cycle
- Automatic renewal unless canceled
- Failed payments result in “past due” status
- Users will be notified to update payment method
6. Users’ Responsibilities
You must use the Service in compliance with all applicable laws, regulations and these Terms. You are responsible for your clients, invoices, and delivered files.
7. Content & File Delivery
You retain full ownership of files you upload to the service. By uploading files, you grant us a non‑exclusive licenses to store, transmit, and deliver them as part of the service.
8. Refunds & Disputes
Since payments between you and your clients do not flow through us, we do not manage or guarantee refunds. Any disputes must be resolved directly between those parties.
Refund Policy
For TeraInvoice Subscription Payments
- Refunds are handled on a case-by-case basis
- Contact support for refund requests
- Downgrading takes effect at the end of the billing period (no partial refunds for unused time)
For Invoice Payments (Stripe Connect)
- Invoice creators can issue full or partial refunds through Stripe
- Refunds are processed back to the original payment method
- Refunded invoices are automatically marked as “Refunded” in the system
- Refund events are logged in the invoice history
Refund Processing
- Refunds typically process within 5-10 business days
- Original transaction fees are not refunded by Stripe
- Partial refunds are supported
9. Modifications to the Service
We may modify, suspend or discontinue the Service at any time, with or without notice. We will use commercially reasonable efforts to provide notice of significant changes.
10. Suspension & Termination
We may suspend or terminate your account if you breach these Terms, engage in fraudulent activity or pose security risks.
11. Intellectual Property
The Service, including all software, trademarks, logos, designs and other content, is the sole property of TeraInvoice or its licensors.
12. Limitation of Liability & Disclaimer
We provide the Service “as‑is” and “as available” without warranties of any kind. In no event will our aggregate liability exceed the fees you paid in the prior 12 months of Service.
13. Acceptable Use Policy
By using TeraInvoice, you agree to use the Service responsibly and only for legitimate business purposes related to invoicing, file delivery, and client transactions. The following activities are strictly prohibited:
- Using the Service for any form of fraud, money laundering, or deceptive practices;
- Processing or facilitating transactions for illegal goods or services, including counterfeit items, weapons, narcotics, or controlled substances;
- Supporting, hosting, or promoting gambling, adult content, pornography, escort services, or other restricted categories;
- Infringing upon the intellectual property, privacy, or data protection rights of others;
- Sending spam, unsolicited communications, or engaging in phishing or malicious activities;
- Attempting to interfere with, disrupt, or compromise the security, performance, or integrations of the Service (including APIs provided by Stripe, or AWS);
- Sharing, selling, or exposing customer data, personal information, or payment details without proper authorization;
- Impersonating another person, business, or entity, or misrepresenting your affiliation;
- Reselling, sublicensing, or redistributing access to TeraInvoice without prior written approval;
- Engaging in any activity that violates applicable laws, payment processor policies (e.g., Stripe), or these Terms.
TeraInvoice reserves the right to immediately suspend or terminate any account that violates this Acceptable Use Policy, without prior notice. Serious violations may result in reporting to law enforcement or payment processors (such as Stripe) as required.
14. Indemnification
You agree to indemnify and hold harmless TeraInvoice, its affiliates, officers, directors and employees from any claim or expense arising from your use of the Service.
15. Governing Law & Jurisdiction
These Terms are governed by the laws of the State of Colorado. Any dispute will be subject to the exclusive jurisdiction of the courts in Colorado.
16. Miscellaneous
These Terms constitute the entire agreement between us and supersede prior agreements. You may not assign your account without our written consent.
